Agent representation includes acceptance and delivery by standard U.S. mail of correspondence from the State of Illinois and legal service of process on behalf of your company for one year.
Illinois Registered Agent's representation will begin on the first to occur
(the "Effective Date"):
1) upon acceptance of your filing by the Secretary of State of Illinois,
or;
2) 90 days post payment.
Illinois Registered Agent delivers the registered office address immediately upon receipt of PayPal's confirmation of your purchase for registered agent services and receipt of the completed "Required Info" form.
Correspondence and service of process received by Illinois Registered Agent on behalf of our clients will be sent to the individual designated to accept such documents as indicated on the company's Required Info form and will be delivered to that contact person by U.S. standard mail service. Agent representation includes acceptance and delivery of correspondence from the State of Illinois and acceptance and delivery of any service of process on behalf of your parent company for one year, subsequent designation representation are an additiona $30.00 per year, per designation, and will be require the submission of a Required Info form and submit payment through PayPal to notify us of the series designation prior to Illinois Registered Agent's acceptance and further delivery of state correspondence or service of process - delivery of service of process on a designation will incur additional copy/delivery fees of $1.50 per page and will be delivered by email in PDF format to the person designated on the Required Info form to receive such correspondence.
Your Company's Responsibility to Us
All entities (domestic or foreign) must complete a "Required Info" form so that Illinois Registered Agent is able to properly service your account.
All entities (domestic or foreign) must inform Illinois Registered Agent of any change made by filing documents with the Illinois Secretary of State that would change the company name, ownership, registered agent, principal office address or if there is a change in the contact person specified to receive the service of process or state correspondence from Illinois Registered Agent.
All companies are required to file their annual reports in a timely manner to avoid being administratively dissolved. Clients that do not file their annual reports and are administratively dissolved by the Secretary of State's office, will receive state correspondence and service of process from Illinois Registered Agent, Inc. until the agent representation renewal date lapses.
TYPES OF SERVICE AND DESCRIPTIONS
Domestic Vs. Foreign
Domestic Registered Agent Services: A U.S. company doing business in the state in which it is incorporated is considered a domestic entity.
When purchasing Domestic registered agent representation you are purchasing representation service for a new or existing Illinois entities that is formed (organized) or going to be formed (organized) in the State of Illinois and is not formed (organized) in any other state.
Upon receipt of your order for agent representation we will provide our contact information. This service includes one year of registered agent representation for acceptance of service of process and state correspondence by standard U.S. mail, commencing on the Effective Date.
Foreign Registered Agent Services: A company conducting business in one state when incorporated or chartered in another is considered a foreign entity.
If your company wishes to conduct business in Illinois and Illinois is not the state in which it was incorporated, you will need to qualy to do busineess in Illinois before you establish a presence here.
When purchasing registered agent service for a foreign entity, you are purchasing representation service for a new or existing entity organized and already doing business in a state other than Illinois that intends to establish (qualify) a business presence in Illinois (aka Foreign qualification).
Foreign companies must register to transact business in Illinand ois should refer to our research topic on What Constitutes Doing Business in Illinois, to determine if your circumstances require you to file an Application for Authority (qualification) with the Secretary of State.

The Illinois form BCA 13.15 is one of the most commonly rejected Illinois forms mostly due to franchise tax calculations and/or missing supporting documentation.
