Form Content & State Filings for Corporations 

The process is divided into three sections to simplify the research, organization and filing requirements.  Thoroughness in this process will allow the filings to flow easily and avoid unnecessary rejection by the Secretary of State.

FORM CONTENT & STATE FILING


Call the Illinois Secretary of State to determine if the company is in good standing (217-782-7880).  The state will not accept any filings on behalf of any company who is not current with franchise tax payments and annual report filings.

Determine who the current registered agent is, have their name, address and county information available for completion of the BCA 5.10 form.

Retrieve the Corporation’s state file number and state of formation (for instances where the company is a foreign entity organized in another state).
County Recordings & Supporting Documentation

Once your BCA 5.10 is on file with the Secretary of State, the previous registered agent’s county and the current registered agent’s county must be put on notice that there has been an agent change. 

The following documents should be requested from the Secretary of State to facilitate the county requirements:

Certified copy of file stamped BCA 5.10 to be filed with the county of the previous registered agent;  and

If the new registered agent is in a completely different county:

Certified copy of the Articles of Incorporation with all amendments to be filed with the new registered agent’s county.

Certified fees vary per document and depending on urgency, expedited fees may apply.

The BCA 5.10 will be executed by an officer of the corporation if item 6(a) is selected on the form.

The BCA 5.10 will be executed by the current registered agent of the corporation if item 6(b) is selected.

Filings can be submitted by overnight mail, standard mail, fax or hand delivered in person.

Fax and hand deliveries are considered expedited services and require additional fees.
