Illinois LLC 1.36/1.37 Statement of Change of Registered Agent and/or office form is one of the easier forms to file with the Secretary of State.

However, there are certain situations in which the state will not accept a change of agent. For example, if your company is not in good standing in Illinois, the State will not accept any filing, including the agent change forms.

Also, if you do not renew your registered agent’s representation, the agent themselves can withdraw as your agent by filing a Notice of Resignation as Agent with the State of Illinois. In this case, the company would be required by statute to appoint another agent or face revocation for non-compliance with State statutes, and an additional state fee is attached to the agent change for non-compliance.

      • If item 6a is selected, the LLC 1.36/1.37 form will be executed by a member or manager of the LLC, and the title should be either Member or Manager.

Call the Illinois Secretary of State to determine if the company is in good standing (217-524-8008). The state will not accept any filings on behalf of any company that is not current with annual report filings.

Filings can be submitted by overnight mail, standard mail, online, or can be hand delivered in person. The filing fee when delivered by standard U.S. mail is $25.00. You must submit a certified check in the amount of $25.00 for paper filing.

Online filing of the Statement of Change or Registered Agent and/or Registered Office is available at: https://apps.ilsos.gov/llcagentchange/ . You will need your state file number to enter the portal. You will be given the option for a routine filing (10-day Turnaround) or an expedited.
